Bylaws of the World Taiwanese Chambers of Commerce – Junior Chapter
Chapter 1 – General Principles
Article 1. In order to encourage overseas young Taiwanese entrepreneurs as well as second generation descendants of Taiwanese entrepreneurs to be part of national (or regional) Taiwanese Chambers of Commerce affiliated with World Taiwanese Chambers of Commerce (hereinafter referred to as “WTCC”) to inherit and expand their businesses, the World Taiwanese Chambers of Commerce – Junior Chapter (hereinafter referred to as “WTCCJC” or “the Chapter”) has been established in pursuant to the provisions of these Regulations.
The name of WTCCJC in Chinese shall be:
WORLD TAIWANESE CHAMBERS OF COMMERCE –JUNIOR CHAPTER
The WTCCJC logo shall be:
Article 2. WTCCJC is an organization composed of young entrepreneurs from Taiwan or whose parents come from Taiwan and who identify and agree with their nationality and the motto of the Chapter. The purpose of WTCCJC is to contact young Taiwanese entrepreneurs or second generation descendants of Taiwanese entrepreneurs living overseas, promote joint expansion of business opportunities, induct the said Taiwanese individuals into national (or regional) Taiwan Chambers of Commerce affiliated with WTCC, and promote participation in WTCC activities.
Article 3. WTCCJC is a subsidiary of WTCC. The establishment of WTCCJC must comply with the regulations prescribed by WTCC. However, in the event that relevant articles have yet to be stipulated by WTCC Bylaws, the WTCC President or a designated representative of the said President must grant authorization. WTCCJC shall follow WTCC guidance and comply with WTCC Bylaws and purposes before commencing with the development of its organization and the operations of its activities.
Article 4. The missions of WTCCJC are as follows:
- Strengthen communication and partnership among second generation descendants of Taiwanese entrepreneurs, encourage the exchange of business information and opportunities, jointly search and plan for business developments, and actively develop international markets.
- Develop and maximize the leadership and management abilities of young Taiwanese entrepreneurs to promote corporate competitiveness.
- Gather and encourage second generation descendants of Taiwanese entrepreneurs to participate in national (or regional) Taiwanese Chambers of Commerce, continental Chambers of Commerce, and WTCC itself, and to engage in organizational activities.
- Serve as a platform for building connections between second generation descendants of overseas Taiwanese entrepreneurs and Taiwan in order to extend and promote economic and commercial ties with the country.
- Focus on cultural elements, human rights, and the spirit of humanitarianism to promote the international image and standing of Taiwanese entrepreneurs.
- Strengthen ties with mainstream society, seek and acquire support for Taiwan, and provide support in expanding relationships with other countries.
Article 5. WTCCJC shall be obliged to do the following:
- To comply with the enforcement rules of WTCC Bylaws.
- To participate in annual events organized by WTCC.
- To submit and present annual work summary reports during the WTCC Joint Meetings of Directors and Supervisors.
- To regularly submit to WTCC its membership rosters and the communication details of its directors, supervisors, and members.
- To accept guidance from WTCC and support events organized by WTCC.
Article 6. The official address of WTCCJC shall be the same as the address of WTCC.
Chapter 2 – Members
Article 7. WTCCJC is an organization composed of the continental junior chapters affiliated with the continental Chambers of Commerce in North America, Asia, Europe, Africa, Latin America, and Oceania.
In the event that an aforementioned continental Chamber of Commerce has yet to establish a continental junior chapter, the affiliated national (or regional) junior chapter organizations may be included as observer members of WTCCJC when attending the meetings; observer members shall have the right to speak but shall have no election or voting rights in the meetings.
Article 8. Memberships in WTCCJC member organizations shall be restricted to members of national (or regional) Chambers of Commerce affiliated with WTCC. Such members shall be from 21 to 35 years of age, and shall have held neither the post of Chief Supervisor or above in WTCC, nor the post of President, Vice President, or Chief Supervisor in the national (regional) Chambers of Commerce.
WTCCJC members who exceed 35 years of age or who assume the post of Supervisor or above in WTCC or continental Chambers of Commerce, and hold the post President, Vice President, or Chief Supervisor in national (regional) chambers, shall have their WTCCJC membership automatically canceled. However, persons elected by the Directors of individual continental Chambers of Commerce shall be exempt from this restriction.
WTCCJC shall verify the age of its members in a careful manner, and may request that its members provide personal identification documents to show proof of age eligibility. Members who refuse to provide such personal identification documents upon request may have their memberships revoked.
Chapter 3 – Organization
Article 9. WTCCJC shall establish a General Council composed of twenty (20) Members’ Representatives elected from each member organization.
The Members’ Representatives shall serve one-year terms, which may be extended upon successful re-election. The qualifications and means of election of Members’ Representatives shall be defined by the member organizations.
The posts of President, Vice President, Secretary General, Treasurer, and Deputy Secretary shall be given to ex officio Members’ representatives. Those who leave their positions shall be absolved of their duties automatically.
Article 10. The General Council shall have the following authorities:
- To propose amendments to the WTCCJC Bylaws.
- To exercise the power of consent for the President, Vice Presidents, and the Chief Supervisor.
- To discuss and vote on the Board of Directors’ affairs and development plans.
- To discuss and vote on the Board of Directors’ proposals.
- To discuss and vote on the proposals of Members’ Representatives.
- To discuss and vote on the dissolution of WTCCJC terms.
Article 11. WTCCJC shall establish a Board of Directors with a President, an Advising President, Vice Presidents, a Secretary General, a Treasurer, and Senior Directors as the ex-officio Directors, as well as ten (10) Directors elected from the various continental junior chapters.
Directors must be Members’ Representatives and shall serve one-year terms. During their term of service, those who have attended two (2) or more WTCCJC Joint Meetings of Directors and Supervisors meetings may be reappointed by their continental junior chapters to serve another term. Directors or Supervisors who serve two (2) consecutive terms and attend all WTCCJC Joint Meetings of Directors and Supervisors during both terms shall be elected by their continental junior chapters, and appointed by the Board of Directors, to serve as Senior Directors for one-year terms. Senior Directors who attend two or more meetings for in a term year shall be elected by their continental junior chapters to serve for another term.
Article 12. The Board of Directors shall have the following authorities:
- To review and approve member (and observer) qualifications.
- To propose amendments to the WTCCJC Bylaws.
- To elect and impeach the President.
- To submit proposals and pass resolutions on proposals.
- To pass resolutions on WTCCJC development plans proposed by the President.
- To pass resolutions on WTCCJC budget proposals.
- To set and execute regulations according to these Bylaws.
- To appoint an Advising President.
- To exercise the power of consent for the Secretary General, Deputy Secretary, Treasurer, Work Committee Chairs, and other personnel nominated by the President.
- To pass resolutions on other important matters.
Article 13. WTCCJC shall establish a Supervisory Committee composed of a Supervisor nominated by each continental junior chapter.
Supervisors must be a Members’ Representative and shall serve one-year terms; during their term of service, those supervisors who have attended two (2) or more WTCCJC Joint Meetings of Directors and Supervisors may be reappointed by their continental junior chapters to serve another term.
The Supervisory Committee shall elect a Chief Supervisor who shall serve one-year terms. The Chief Supervisor shall be responsible for convening and chairing Supervisory Committee meetings.
The Chief Supervisor shall meet the following qualifications:
- Has served as a President, Vice President, Secretary General, Treasurer, Director, or Supervisor of WTCCJC.
- Currently serving as a WTCCJC Supervisor status at the time of the election.
- Has attended two (2) or more WTCCJC Joint Meetings of Directors and Supervisors for the last two (2) years before the election.
Article 14. The Supervisory Committee shall have the following authorities:
- To supervise the execution of each WTCCJC administrative matter.
- To audit each one of WTCCJC’s financial accounts and accounting statements.
Article 15. WTCCJC shall have one President and several Vice Presidents. The President shall be responsible for all internal operations and shall represent WTCCJC to outside parties. The Vice Presidents shall assist the President in handling WTCCJC matters.
The President shall be elected by the Board of Directors through secret ballot. The President shall serve for one-year terms and may not stand for re-elections.
The roles of the Vice Presidents shall be assumed by Presidents of each respective continental junior chapter. Regulations governing the elections and impeachment of Presidents shall be stipulated separately.
Article 16. WTCCJC presidential candidates must meet the following qualifications:
- Have served as a Chief Supervisor, Vice President, Secretary General, Treasurer, Director, or Supervisor of WTCCJC.
- Currently serving as a WTCCJC Director at the time of the election.
- Have attended two (2) or more WTCCJC Joint Meetings of Directors and Supervisors for the last two (2) years before the election.
Each membership organization may nominate a presidential candidate according to the legally permitted procedure. However, each organization is allowed to nominate only one (1) presidential candidate.
Article 16.1. A former President who has just completed his or her term shall be employed by the new Board of Directors as the Advising President for a one-year term. The Advising President shall support the President in carrying out WTCCJC affairs. This clause shall come into effect upon WTCCJC’s third year.
The Advising President shall attend every WTCCJC Joint Meeting of Directors and Supervisors during his or her term of service. Upon completing their terms, the former Advising Presidents may be employed as Senior Directors with the Board of Director’s agreement.
Article 16.2. The Chief Supervisor, Vice-Presidents, Secretary General, and Treasurer must attend all WTCCJC Joint Meetings of Directors and Supervisors. Upon completing their terms, these persons may be employed as Senior Directors with the agreement of the Board of Directors.
Article 17. WTCCJC shall employ one Secretary General, one Deputy Secretary, and one Treasurer to help the President handle WTCCJC matters. Persons in each of these positions shall be nominated by the President and employed upon approval by the Board of Directors. The term lengths served by the aforementioned roles shall be the same as that served by the President.
The Secretary General shall have served as a WTCCJC Director or Supervisor and attended two (2) or more WTCCJC Joint Meetings of Directors and Supervisors in each of the two most recent years before being employed for his or her duties.
Article 18. Supervisors may attend director meetings, where they have the right to speak but no right to vote.
Article 19. WTCCJC may establish Work Committees with the Board of Director’s resolution and after submitting the proposals and gaining approval from the WTCC Joint Meeting of Directors and Supervisors. For Cross-Strait issues, the Chapter shall refer to the resolutions of the WTCC and will not establish a separate Work Committee.
Each Work Committee shall have a Committee Chairperson nominated by the President. The Chairperson shall be employed upon agreement by the Board of Directors. The term lengths served by the aforementioned roles shall be the same as that served by the President.
Executive rules for the various Work Committees shall be stipulated by the WTCC and come into effect upon approval by the WTCC Joint Meeting of Directors and Supervisors.
Article 20. WTCCJC Directors, Supervisors, and Members’ Representatives for each new term shall be elected by the various continental junior chapters before the middle of May of each election year; the said junior chapters shall generate the rosters and submit them to the Chapter’s Secretariat.
Article 21. Service terms for the President, Vice-Presidents, Chief Supervisor, Secretary General, Treasurer, Directors, Supervisor, and Members’ Representatives of WTCCJC shall end on the day when the former President transfers his or her duties to the new President assuming his or her office.
Article 22. Election and transfer of duties for the new WTCCJC President and Chief Supervisor shall be completed before the WTCC Annual Conference.
Chapter 4 – Meetings and Chapter Affairs
Article 23. The General Council of Members’ Representatives Meetings shall be held once every term (year) during the same period as the WTCC Annual Conference. When necessary, provisional meetings may be held.
A Provisional General Council of Members’ Representatives Meeting shall be held when the Council believes the said meeting to be necessary or when over one-third (1/3) of the members’ representative have requested the meeting, and shall be convened by the President within thirty (30) days.
Article 24. The Board of Directors and the Supervisory Committee shall hold at least one meeting every term during the same period as the WTCC Annual Conference. When necessary, provisional meetings may be held.
A provisional Board of Directors Meeting shall be held when over one-third (1/3) of the Directors have requested for the meeting, and shall be convened by the President within thirty (30) days.
Article 25. When convening the General Council of Members’ Representatives Meetings, Board of Directors Meetings, and transferring the duties of the President, the Chapter must prepare and issue formal letters of invitation to the WTCC President, WTCC Vice-President, and other relevant personnel to attend the event in order to provide instructions and supervise the transfer.
Article 26. The Board of Directors and Supervisory Committee of the Chapter may convene joint meetings to reach the resolution for important proposals.
However, attending supervisors only have the right to speak and have no right to vote.
Article 27. Each WTCCJC meeting must meet a quorum of over half of the Members’ Representatives, Directors, and Supervisors (including delegated individuals) before the said meetings may commence. Any resolutions shall be passed by majority vote.
Article 28. Those who are unable to attend the meeting in person may compose a Letter of Delegation and authorize a delegate to attend the meeting in his or her stead and exercise his or her authorities. The delegate may only represent one individual, and may not receive delegations from a continent different from his or her own.
The exercising of voting rights for the elections of the President or the Chief Supervisor shall not be included within the scope of delegated authorization.
Article 29. WTCCJC shall hold one or more social events (such as exchange programs, observational studies, tours, theme-based seminars, and regular distribution of news and events of the Chapter) and accept guidance from relevant WTCC Work Committees.
Chapter 5 – Budget
Article 30. For expenses incurred by the General Council of Members’ Representatives, Board of Directors Meetings, Supervisory Committee Meetings, and various project activities, WTCCJC shall propose a work plan and budget estimate prior to the meetings or events for the approval by the WTCC president. The WTCC shall allocate a special fund to support the said meetings and events accordingly.
Article 30.1. The President, Chief Supervisor, Advising President, Vice Presidents, Senior Directors, Directors, and Supervisors shall pay annual membership fees to serve as funding for annual expenses. The Board of Directors shall determine the amount of the annual membership fee and submit this figure to WTCC for approval.
The aforementioned annual membership fee shall be paid in whole with a single payment when registering for the Annual Conference of the current term. The payee shall utilize the payment receipt of the annual membership fee issued by the Chapter in order to exercise election rights, rights to be elected, and rights of resolution.
If any member fails to provide a payment three (3) months after the payment deadline, the Board of Directors may resolve to suspend the qualifications and rights of the said member until payment has been received, whereupon the said member’s qualifications and rights shall be restored accordingly.
Article 30.2. Annual membership fee payments stated in the preceding article shall be checked by the current-term Treasurer and verified by the current-term President and Chief Supervisor before being transferred to the new Treasurer assuming his or her office in the new term. The said new Treasurer shall then deposit the sum in the “Junior Chapter” account of WTCC for the purposes of supporting Chapter affairs and operations.
To utilize the sum mentioned in the preceding paragraph, the new-term President and Treasurer shall propose and submit a usage plan and budget limit to the WTCC for approval and distribution. The status of expenses shall be checked and approved by the Chief Supervisor, and compiled in a documented report which shall be submitted to the WTCC President before the WTCCJC President completes his or her term.
Chapter 6 – Supplementary Provisions
Article 31. To realize the purposes and missions of these Bylaws, the Board of Directors may stipulate and enact other enforcement rules.
Article 32. The dissolution of a WTCCJC term may come into effect with a quorum of over half of the Members’ Representatives and the agreement of over two-thirds (2/3) of the members attending the meeting.
Should WTCCJC violate the provisions prescribed in Articles 3, 4, and 5 of these Bylaws, and where the violation is of serious nature, the WTCC Joint Meeting of Directors and Supervisors may resolve to dissolve the Chapter.
Upon dissolution of the Chapter, all its remaining assets shall be handed over to the WTCC.
Article 33. In addition to proposals from the WTCC, amendments to these Bylaws may be jointly petitioned by ten (10) or more WTJCCJC Directors and/or Supervisors or if proposed by the Board of Directors. The said amendment shall be agreed by at least two-thirds (2/3) of the attending Members’ Representatives before being submitted to the WTCC Joint Meeting of Directors and Supervisors.
Article 34. These Regulations shall come into force upon the approval of the WTCC Joint Meeting of Directors and Supervisors. The same shall apply to all amendments.
